Welcome to SettlePal, operated by OBAN Limited, trading as SettlePal. OBAN Limited is incorporated under the laws of the British Virgin Islands and is authorized by the BVI Financial Services Commission (FSC) as a Virtual Asset Service Provider (VASP).

By accessing or using our website or services, you agree to these Terms and Conditions (“Terms”). Please read them carefully. If you do not agree, you should not use the services.


1. Eligibility

  • You must be at least 18 years old and legally capable of entering into binding agreements.
  • Use of SettlePal is not permitted where doing so would violate local laws, regulations, or restrictions.
  • You are responsible for ensuring that your use of our services complies with all applicable laws.

2. Services Overview

  • SettlePal provides a settlement bridge that delivers instant USDT liquidity to merchants, payment processors, exchanges, and remittance platforms that accept fiat payments such as bank transfers or credit cards.
  • Liquidity is funded by users (“Liquidity Providers”) who pledge USDT into a pool. Liquidity Providers may receive rewards based on actual transaction activity.
  • OBAN Limited is committed to operating within the scope of its BVI FSC VASP license and all applicable regulations. Compliance is central to how we design and deliver our services.

3. User Accounts

  • Each person or entity may only open one SettlePal account. Duplicate, shared, or disguised accounts are prohibited.
  • Accounts are non-transferable and may not be sold, assigned, or shared.
  • You are responsible for maintaining the security of your login credentials. Any activity under your account is presumed to be yours.
  • We may suspend or close accounts where there are concerns about compliance, fraud, or breaches of these Terms.

4. Liquidity Providers

  • By pledging USDT, you enable instant settlements for merchants and platforms.
  • Pledged funds may be subject to operational cycles, release schedules, and limits, as displayed in your account dashboard or set out in separate agreements.
  • Rewards, if any, are based solely on real transaction volume and settlement activity. They are not guaranteed.
  • Terms of participation, including reward structures, may be set out in separate agreements or pricing schedules.

5. Pricing and Fees

  • The details of fees and compensation are not published in these Terms. Instead, they are outlined in your Pricing Schedule, Merchant Agreement, or Liquidity Provider Agreement provided to you separately.
  • By using SettlePal, you agree to the terms set out in those agreements.

6. Compliance & KYC

  • OBAN Limited is a regulated VASP under the BVI FSC and applies strict Know Your Customer (KYC) and Anti-Money Laundering (AML) standards.
  • You may be required to provide identification, proof of address, and other documents before using or continuing to use our services.
  • We may monitor transactions to ensure compliance with our licensing obligations and global financial crime rules.
  • From time to time, we may request updated information. Failure to comply may result in suspension or termination of your account.
  • These measures are not optional — they are part of our responsibility to regulators, partners, and our community.

7. Prohibited Activities

You agree not to use SettlePal for:

  • Holding more than one account.
  • Money laundering, terrorist financing, fraud, or illegal activities.
  • Misusing banking or card systems, including chargeback abuse.
  • Attempting to bypass system controls, limits, or monitoring.
  • Activities that would cause OBAN Limited to breach its VASP license obligations or BVI law.

8. Withholding, Delays & Offsets

  • We may withhold or delay payouts if required to comply with law, regulatory obligations, investigations, or fraud prevention.
  • We may offset amounts owed against balances in your account, including chargebacks, refunds, or settlement adjustments.
  • Where permitted by law, we will notify you if action is taken under this section.

9. Risk Disclosure

  • Using SettlePal involves risk. Rewards are not guaranteed.
  • Settlement times may be affected by banking delays, chargebacks, system outages, or regulatory actions.
  • You are responsible for assessing whether participation is suitable for you.

10. Limitation of Liability

  • Services are provided on an “as is” and “as available” basis.
  • OBAN Limited is not liable for indirect, incidental, or consequential damages, including loss of profits.
  • To the maximum extent permitted by law, our liability is limited to the total fees you paid to us in the three (3) months prior to the claim.

11. Indemnity

You agree to indemnify and hold harmless OBAN Limited, its officers, employees, and affiliates against any claims, losses, or expenses arising from your breach of these Terms, your use of the Services, or your violation of law.


12. Intellectual Property

All intellectual property, branding, software, and content on the SettlePal website and platform are owned by OBAN Limited and may not be used without our permission.


13. Termination

  • OBAN Limited may suspend or terminate your account if you breach these Terms, fail to comply with KYC requirements, or engage in prohibited conduct.
  • You may close your account at any time, subject to any outstanding obligations.

14. Governing Law

  • These Terms are governed by the laws of the British Virgin Islands.
  • Any disputes will be subject to the exclusive jurisdiction of the BVI courts.

15. Amendments

  • We may update these Terms from time to time. Updates will be posted on this page.
  • Continued use of the services after an update constitutes acceptance of the revised Terms.
