1. INTRODUCTION

Welcome to SettlePal, operated by OBAN Limited (“we”, “us”, “our”). OBAN Limited is incorporated under the laws of the British Virgin Islands and is authorized by the BVI Financial Services Commission (FSC) as a Virtual Asset Service Provider (VASP).

By accessing our website, settlement engine, or utilizing any Restricted Promotional Capital, you agree to these Terms and Conditions (“Terms”).

2. NATURE OF SERVICES

SettlePal provides a decentralized routing layer that facilitates instant settlement for merchants and payment processors.
Software-as-a-Service: We provide the technological infrastructure for liquidity routing. We do not act as a bank, wealth manager, or investment advisor.
Institutional Focus: Our platform is designed for commercial liquidity providers. Any consumer access is granted solely under our "Pilot Partner" program.

3. RESTRICTED PROMOTIONAL CAPITAL (RPC)

To enable new partners to evaluate platform performance without initial risk exposure, SettlePal may provide a limited allocation of Restricted Promotional Capital (“RPC”), also referred to as a “Liquidity Pass,” “Welcome Allocation,” or “Pilot Funds.”

3.1 Ownership of Funds

RPC allocations remain the sole property of OBAN Limited and are provided exclusively for evaluation and routing-performance purposes. RPC does not constitute a gift, transfer of ownership, or unconditional balance credit.

3.2 Use Limitation

RPC is designated solely for participation within the routing environment and may not be transferred, redeemed, converted, or otherwise claimed by the participant as personal account value.

3.3 Activation of Generated Credits

Any settlement fees, incentive balances, or performance-based credits generated through RPC activity are classified as Provisional Credits. Such credits only become accessible after the participant:

(a) completes Level 2 Identity Verification (KYC); and
(b) upgrades to a Standard Partner Account by contributing active liquidity, subject to applicable minimum thresholds.

3.4 Promotional Period

If the Pilot Account is not upgraded within 7 days (or any alternative promotional period specified in the applicable offer), the RPC allocation and all associated Provisional Credits may be removed, expired, or reallocated by OBAN Limited.

4. LIQUIDITY PARTICIPATION

By allocating capital (whether RPC or your own funds) to the SettlePal pool, you act as a Network Participant.
Variable Performance: Settlement fees are derived from real-time transaction volume. We do not guarantee a fixed rate of return. Past performance of the routing engine does not guarantee future volume.
Lock-up Cycles: Capital allocations may be subject to routing cycles (e.g., 24–168 hours) to ensure settlement finality. Assets cannot be withdrawn while active in a settlement cycle.

5. COMPLIANCE & RISK

Risk Disclosure: Dealing in digital settlement layers involves market risks, including volatility and technical latency. You should not allocate capital you cannot afford to lose.
No Financial Advice: Materials on this site are for technical and educational purposes only.
Prohibited Users: You may not use this service if you are a resident of a sanctioned jurisdiction or if you are listed on any UN/OFAC sanctions lists.

6. LIMITATION OF LIABILITY

The Services are provided "as is." OBAN Limited shall not be liable for indirect or consequential damages. Our total liability is limited to the fees actually paid by you to us in the three (3) months preceding any claim.

7. GOVERNING LAW

These Terms are governed by the laws of the British Virgin Islands. Any disputes shall be resolved by arbitration in the BVI.
